These Terms and Conditions constitute the Seclab.ai LLC Agreement. This Agreement governs access to and use of websites, online services, software, tools, application programming interfaces, documentation, research materials, publications, brand assets, security resources, corporate solutions, paid offerings, subscriptions, and related services made available by Seclab.ai LLC, including services available through www.seclab.ai. By purchasing services from Seclab.ai LLC, accessing the Website, or using any related product, corporate solution, or service, you acknowledge that you have read, understood, and accepted this Agreement and any posted privacy policy, cookie notice, service-specific terms, order forms, statements of work, data processing terms, license terms, or written agreements that apply.
If you are using the services on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms. If you do not agree to these Terms, you must not access or use the services.
This Agreement is subject to change from time to time. The most current version will be made available on the Website or through another authorized company channel. Your continued access to or use of the Website, products, corporate solutions, or services after updated terms are posted constitutes acceptance of the updated Agreement, enforceable as if you had signed it, unless a separate written agreement states otherwise.
These Terms are written to reflect Seclab.ai LLC's operating principles: security-first engineering, accountable AI use, human-directed oversight, responsible automation, clear identity boundaries, controlled use of data, and respect for lawful access, intellectual property, and third-party platform requirements. They are not intended to replace a signed customer agreement, privacy policy, data processing agreement, licensing agreement, or attorney-reviewed contract where one applies.
This Agreement does not create any agency, partnership, joint venture, fiduciary relationship, employer-employee relationship, franchiser-franchisee relationship, or similar relationship between you and Seclab.ai LLC. Neither party has authority to bind the other except as expressly stated in a written agreement signed by authorized representatives.
1. Definitions
For purposes of these Terms, the following definitions apply:
“Seclab.ai LLC,” “we,” “us,” and “our” refer to Seclab.ai LLC.
“Customer,” “you,” and “your” refer to the person or entity accessing or using the Website or services.
“Services” means online services, software, tools, hosted systems, documentation, APIs, support offerings, and related materials made available by Seclab.ai LLC.
“Customer Data” means data, files, prompts, inputs, outputs, configurations, logs, or other materials submitted to or processed through the services by or on behalf of Customer.
Additional definitions apply to Website use and beta materials:
“Website” means the public and beta web properties operated by or for Seclab.ai LLC.
“Content” means text, graphics, documentation, research notes, diagrams, code samples, downloadable materials, logos, marks, branding, and other information made available through the Website or services.
“AI System” means any artificial intelligence, machine learning, model-assisted, automation-enabled, agentic, decision-support, or workflow-orchestration capability provided, demonstrated, documented, or referenced by Seclab.ai LLC.
“Beta” means a preview, test, limited-release, evaluation, laboratory, pre-production, or developing feature that may change, be withdrawn, or remain subject to additional limitations.
2. Data Collection
Seclab.ai LLC collects only the information reasonably necessary to operate the Website, support security, respond to inquiries, evaluate site performance, maintain business records, and provide services requested by visitors, customers, or partners. Website data may include technical identifiers, browser information, device information, approximate region, pages visited, session activity, referrer information, security events, and interaction telemetry.
Seclab.ai LLC does not intentionally collect sensitive personal information, protected health information, financial account information, government identification numbers, or private customer system data through the public Website unless a separate service, form, support process, customer agreement, or lawful business process clearly requires and governs that collection.
By accessing the Website, visitors acknowledge that limited technical data may be collected by Seclab.ai LLC and third-party technical providers acting on our behalf for site operation, security, analytics, diagnostics, performance, abuse prevention, and lawful business purposes. Seclab.ai LLC does not sell Website visitor information to third parties.
3. Processing of Personal Data
Seclab.ai LLC processes personal data only for legitimate operational, security, administrative, contractual, compliance, and business purposes. Processing may include maintaining Website functionality, responding to communications, improving usability, reviewing system performance, detecting threats, preventing abuse, supporting beta-launch diagnostics, preserving business records, and complying with applicable legal obligations.
Where personal data is processed by third-party technical providers, Seclab.ai LLC expects those providers to maintain appropriate technical, organizational, contractual, and security safeguards. Seclab.ai LLC does not use public Website analytics to intentionally identify individual visitors beyond what is reasonably necessary for security, service operation, troubleshooting, abuse prevention, legal compliance, or lawful business administration.
4. Data Sharing and Third-Party Technical Providers
Seclab.ai LLC may share limited data with third-party technical providers that support hosting, content delivery, analytics, firewall protection, threat detection, site reliability, brand presentation, security monitoring, diagnostics, and lawful business operations. These providers are engaged to support Website functionality and security, not to sell visitor information or create advertising profiles on behalf of Seclab.ai LLC.
Seclab.ai LLC does not sell personal data or Website visitor information. Data may be disclosed when necessary to operate the Website, protect systems, investigate misuse, comply with law, enforce policies, respond to lawful requests, protect rights, support business continuity, or complete a transaction involving the company, provided that appropriate confidentiality, security, and legal controls are considered.
5. Data Retention, Storage, and Security Controls
Seclab.ai LLC retains personal data only for as long as reasonably necessary for the purposes described in these Terms, the applicable privacy policy, written agreements, business records, security review, legal obligations, or dispute resolution. We do not store Website visitor personal data on local servers as a standard practice. Where retention is required, data is maintained through secure cloud-based systems, protected repositories, encrypted storage, access-controlled vaults, or other controlled environments appropriate to the sensitivity and purpose of the data.
Security controls may include access limitation, encryption, credential protection, administrative review, logging, monitoring, firewall and application security controls, abuse detection, secure configuration practices, and periodic policy review. Seclab.ai LLC may log, trace, analyze, rate-limit, block, preserve, or investigate unauthorized agents, rogue automation, malicious bots, disruptive AI or machine-learning systems, unapproved scraping, credential attacks, probing, scanning, anomalous traffic, or other automated activity that threatens the Website, services, infrastructure, users, partners, or business operations. These actions may be used for corrective action, security review, abuse prevention, legal compliance, incident response, service protection, and enforcement of this Agreement.
Seclab.ai LLC values its visitors, customers, vendors, investors, and partners, and engages technical services that are expected to maintain recognized security, privacy, and compliance programs. Seclab.ai LLC does not claim a specific regulatory certification unless that certification has been formally obtained, documented, and authorized for public use.
Seclab.ai LLC is not presently representing that the public Website is a HIPAA-regulated health platform. If the Website, services, forms, analytics, customer workflows, or support channels are later used to collect, receive, maintain, process, or transmit protected health information, Seclab.ai LLC will need to apply appropriate HIPAA review, business associate analysis, tracking-technology safeguards, minimum-necessary controls, authorization review, and attorney-approved privacy and security procedures before such use proceeds.
6. Service Availability, Beta Status, and Support
Seclab.ai LLC may provide service availability commitments, support terms, or service level objectives for specific offerings when stated in an applicable order form, service description, support policy, or written agreement. Unless expressly stated, the Website and beta services are provided without a separate service level agreement. Beta features may be experimental, incomplete, rate-limited, modified, withdrawn, or unavailable without notice.
Website content may be updated as the company develops its beta launch, partner materials, technical diagrams, service documentation, and investor-facing presentation materials. Public availability of information does not guarantee that a feature is production-ready, commercially available, supported in all environments, or suitable for regulated, safety-critical, or high-impact use without additional written review.
7. Access Rights and Account Responsibility
You are responsible for maintaining accurate account information, protecting credentials, managing authorized users, and ensuring that all access to the services complies with these Terms. You must promptly notify Seclab.ai LLC of any known or suspected unauthorized access, credential compromise, security incident, or misuse involving the services.
8. Authorized Use
Subject to these Terms and any applicable agreement, Seclab.ai LLC grants you a limited, revocable, non-exclusive, non-transferable right to access and use the services solely for lawful business, development, research, evaluation, security, automation, or operational purposes authorized by Seclab.ai LLC. No rights are granted except as expressly stated.
9. Compliance With Laws
You are responsible for complying with all applicable local, state, national, and international laws, rules, regulations, sanctions, export-control requirements, import-control requirements, privacy obligations, security obligations, licensing rules, and industry requirements that apply to your access to or use of the Website, products, corporate solutions, services, technical data, software, documentation, downloads, or online transmissions. Seclab.ai LLC is not responsible for your failure to comply with laws or obligations applicable to your use, environment, business, systems, or data.
10. Restrictions
You must not access or use the services in a manner that violates law, infringes rights, compromises security, degrades availability, interferes with service integrity, bypasses usage limits, circumvents access controls, or attempts to gain unauthorized access to systems, networks, data, models, accounts, or infrastructure.
11. Acceptable Use Policy
You and anyone accessing the services through your account must not:
- Use the services for unlawful, harmful, fraudulent, deceptive, abusive, or rights-infringing activity;
- Attempt unauthorized access to any service, account, device, system, network, data set, model, or infrastructure;
- Distribute malware, spam, phishing content, credential-harvesting material, exploit code, or other abusive technical content;
- Interfere with, disrupt, overload, scan, probe, or degrade the services or related infrastructure;
- Reverse engineer, decompile, scrape, extract, copy, or replicate any service component except where expressly permitted by law or written agreement;
- Use the services to create or operate systems where failure could reasonably result in death, serious injury, property damage, or significant environmental harm without an express written agreement authorizing that use;
- Bypass usage restrictions, security controls, rate limits, metering, billing, or technical safeguards;
- Use outputs, automation, agents, or integrations without appropriate human review where review is legally, operationally, or professionally required;
- Assist, encourage, or enable any third party to violate these Terms.
Seclab.ai LLC may investigate suspected violations and may suspend, limit, or terminate access when necessary to protect the services, Customer Data, third parties, Seclab.ai LLC systems, legal obligations, or business operations.
12. Usage Limits and Consumption-Based Services
Some services may include usage limits, rate limits, capacity limits, metered charges, or consumption-based fees. You are responsible for all charges incurred through your account or authorized users. Exceeding documented limits may result in throttling, additional charges, suspension, or other controls reasonably necessary to maintain service integrity.
13. Payments, Fees, Renewals, and Refunds
Unless a written agreement states otherwise, fees paid for services, subscriptions, usage, setup, implementation, support, consulting, or other offerings are non-refundable. Service renewals correspond to the term selected at the time of order or renewal. Monthly plans renew monthly, annual plans renew annually, and other subscription terms renew according to the applicable order, invoice, checkout flow, statement of work, or written agreement.
By purchasing or subscribing to services, you authorize recurring charges using the payment method provided, including credit card, ACH, invoice, or another approved method. To avoid renewal, written notice must be provided at least thirty days before the applicable renewal date unless a different cancellation process is stated in the applicable agreement. Failed payments, chargebacks, returned payments, collection costs, or suspended accounts may result in processing fees, administrative fees, collection activity, service suspension, termination, or a reinstatement fee if access is restored.
14. Responsible Use of AI and Automation
Where the services include artificial intelligence, machine learning, automation, agents, scripts, workflows, or decision-support functionality, you are responsible for evaluating inputs, outputs, configurations, permissions, and downstream use. You must not rely on automated output as a substitute for professional judgment, legal review, security review, compliance review, or other required human oversight. You are responsible for ensuring that your use of AI-enabled services complies with applicable law and does not create prohibited, unsafe, deceptive, discriminatory, or unauthorized outcomes.
15. Principles, Code of Conduct, and Responsible Use
Seclab.ai LLC expects all users, customers, developers, partners, contributors, vendors, and visitors to interact with the Website and services in a lawful, professional, respectful, and security-conscious manner. Our conduct expectations are grounded in practical business discipline: do not misuse access, do not misrepresent authority, do not undermine security controls, do not obscure accountability, do not abuse automated systems, and do not use the Website or services to harm others or interfere with lawful operations.
AI-enabled features, agents, automations, examples, research outputs, or technical demonstrations must be treated as decision-support tools, not as substitutes for human accountability. High-impact decisions, external commitments, legal representations, access changes, security-sensitive actions, financial commitments, customer commitments, and regulated-data uses require appropriate human review or approval before execution. Lower-risk internal assistance may be supported by monitored automation where logging, validation, reversibility, and escalation paths are maintained.
We reserve the right to restrict, suspend, terminate, investigate, or remediate activity that appears to violate these Terms, threaten service integrity, create security risk, expose data, abuse AI or automation, infringe rights, or create unlawful, deceptive, unsafe, or materially harmful outcomes. Enforcement may include technical blocking, account restrictions, request denial, content removal, incident review, legal escalation, or referral to appropriate authorities where warranted.
16. Intellectual Property, Branding, and Copyright Notice
Seclab.ai LLC and its licensors retain all rights, title, and interest in and to the Website, services, software, systems, documentation, research materials, models, tools, designs, diagrams, workflows, names, logos, trademarks, trade dress, brand assets, and related intellectual property. Website access does not transfer ownership rights, license rights, or rights to copy, distribute, commercialize, reverse engineer, scrape, train models on, reproduce, or create derivative works from any protected material except as expressly permitted by law or written agreement.

Publicly posted code samples, open-source references, third-party repositories, documentation links, or license references remain subject to their applicable licenses. If Seclab.ai LLC publishes software, code, templates, scripts, policies, or technical materials under a separate license, that separate license controls the permitted use of those materials.
Feedback, suggestions, ideas, requests, corrections, or recommendations submitted to Seclab.ai LLC may be used to improve the Website, services, documentation, operations, security controls, user experience, or product direction without restriction or obligation to you, unless a separate written agreement states otherwise. Do not submit confidential, proprietary, regulated, or third-party information unless you are authorized to do so and the receiving channel is appropriate for that information.
17. Assignment
You may not assign, delegate, sublicense, transfer, or otherwise convey this Agreement or any rights or obligations under it without prior written consent from Seclab.ai LLC. Seclab.ai LLC may assign, transfer, delegate, or subcontract this Agreement, in whole or in part, in connection with company operations, restructuring, merger, acquisition, financing, sale of assets, service-provider arrangements, or other lawful business purposes, unless prohibited by an applicable written agreement.
18. Indemnification
You agree to indemnify, defend, and hold harmless Seclab.ai LLC and its directors, officers, employees, contractors, agents, affiliates, co-branders, licensors, service providers, successors, and assigns from and against any liabilities, losses, claims, demands, disputes, damages, judgments, penalties, costs, and expenses, including reasonable attorneys' fees and litigation expenses, arising out of or relating to your access to or use of the Website or services, content you submit or transmit, your breach of this Agreement, your violation of law, your infringement of third-party rights, your misuse of accounts or credentials, or your connection to the Website or services.
19. Modification, Suspension, and Termination
Seclab.ai LLC may modify, suspend, restrict, discontinue, or terminate the Website, services, products, corporate solutions, content, accounts, features, documentation, access rights, beta materials, or submitted content at any time when reasonably necessary for business, operational, security, legal, compliance, abuse-prevention, maintenance, or service-integrity reasons. Seclab.ai LLC will not be liable for consequences resulting from modification, suspension, discontinuation, termination, account restriction, or content removal except to the extent required by applicable law or a governing written agreement.
20. Disclaimer and Limitation of Liability
The Website, services, products, corporate solutions, content, beta materials, documentation, software, and related offerings are provided "as is" and "as available" unless a written agreement states otherwise. To the maximum extent permitted by law, Seclab.ai LLC disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, security, uninterrupted operation, and error-free performance.
To the maximum extent permitted by law, Seclab.ai LLC will not be liable for direct, indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost goodwill, lost use, lost data, business interruption, costs of substitute services, service interruptions, unauthorized access to or alteration of data, statements or conduct of third parties, security incidents caused by Customer systems, or unauthorized use of Customer accounts, even if advised of the possibility of such damages.
Notwithstanding the foregoing, if liability is established and cannot be excluded, Seclab.ai LLC's maximum aggregate liability will be limited to the greater of the total fees paid by you to Seclab.ai LLC during the three months preceding the event giving rise to liability or one hundred dollars ($100), unless a different limitation is required by applicable law or stated in a signed written agreement.
21. Governance, Legal Review, and Contact
This document is intended as a public-facing website baseline for beta launch, partner assurance, investor review, and legal review. It should be reviewed by qualified legal counsel before final publication or use as a binding agreement. If these Terms conflict with a signed written agreement between Seclab.ai LLC and a customer, partner, vendor, or other counterparty, the signed written agreement controls to the extent of the conflict.
Seclab.ai LLC may update these Terms to reflect changes in Website functionality, beta services, analytics tools, legal requirements, third-party service providers, branding assets, security controls, AI governance practices, operating divisions, or public-facing business materials. Material updates should be reviewed before publication and versioned internally for accountability. Continued use of the Website after updated Terms are posted constitutes acceptance of the updated Terms unless a different effective date is stated.

Legal, privacy, security, investor, partner, or vendor inquiries should be routed through the appropriate business contact so that requests can be reviewed, logged, and handled under the proper authority.
22. Company Identity and Operating Principles
Seclab.ai LLC operates as an information technology, artificial intelligence, cloud infrastructure, networking, cybersecurity, software systems, automation, and applied research company. The company's public-facing identity is Seclab AI, while the legal entity remains Seclab.ai LLC. References to Seclab.ai LLC, Seclab AI, seclab.ai, or authorized identifier-safe forms are intended to preserve clear identity boundaries and avoid confusion with unrelated entities.
Our operating principles emphasize secure-by-design systems, least privilege, explicit verification, auditability, lifecycle control, human accountability, responsible AI, and disciplined change management. Website content may describe current, planned, experimental, or beta capabilities. Unless specifically stated in a signed agreement, Website descriptions are informational and do not create a warranty, service level commitment, regulated compliance attestation, or binding technical specification.
